Terms of Service

1. About these terms

Vedential is a project and portfolio management service provided by Vedential Pty Ltd ("we", "us"). By creating an account or using Vedential you agree to these terms on your own behalf and, if you use it for an organisation, on that organisation's behalf.

2. Beta service

Vedential is currently offered as a free beta for evaluation. During the beta: features may change or be withdrawn as the product develops; we do not offer a service level agreement; and we may contact you for feedback. We will give you reasonable notice before any change that materially reduces functionality you rely on, and before the beta ends or paid plans begin. Nothing about the beta limits your rights under the Australian Consumer Law (see section 10).

3. Your account

  • Keep your sign-in credentials secure and tell us promptly about any unauthorised access.
  • Provide accurate account information (we use your verified email for invitations and organisation joining).
  • Your organisation's administrators control who can access your organisation's workspace and at what role.

4. Acceptable use

You must not use Vedential to:

  • break the law, infringe anyone's rights, or store content you don't have the right to store;
  • probe, disable or circumvent security or access controls, or access another organisation's data;
  • resell or provide the service to third parties as your own, or use it to build a competing product;
  • send spam or upload malicious code.

5. Your content and data

Your data stays yours. You (and your organisation) own the content you put into Vedential — programs, projects, tasks, registers, documents and everything else. You grant us the limited licence needed to host, process, back up and display that content to the people your organisation authorises, which is what operating the service requires and nothing more. You can export your data at any time using the built-in CSV/Excel export. If your organisation's account is closed, we delete its content from live systems within 30 days (backups cycle out on a schedule after that).

6. Privacy

Our Privacy Policy explains what personal information we collect and how we handle it. It forms part of these terms.

7. Our intellectual property

We own Vedential — the software, design, branding and documentation. These terms don't transfer any of that to you; they give you the right to use the service while your account is active.

8. Third-party services

Vedential runs on reputable third-party cloud infrastructure (hosting, database, email delivery and — once paid plans launch — payment processing). Where those providers process your data, they do so under contract as service providers to us; see the Privacy Policy.

9. Availability

We work to keep Vedential available and we schedule maintenance thoughtfully, but during the beta the service is provided without an uptime commitment. If something breaks, tell us at support@vedential.com and we'll be honest about what happened.

10. Consumer guarantees and liability

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot be excluded. Where we are permitted to limit our liability, then to that extent: (a) our total liability to you in connection with the service is limited to the amount you paid us for it in the 12 months before the claim (or A$100 if you have paid nothing, as during the beta); (b) neither of us is liable to the other for indirect or consequential loss; and (c) where a consumer guarantee applies but liability may be limited, our liability is limited to re-supplying the service. You are responsible for the content you store and for maintaining your own copies of anything critical (the export tools exist for this).

11. Suspension and ending your account

You can stop using Vedential and close your account at any time. We may suspend or close an account for a material breach of these terms; we will give you notice and an opportunity to respond, except where acting immediately is necessary to protect the service or other users. If we end the beta or discontinue the service, we will give you at least 30 days' notice so you can export your data.

12. Changes to these terms

We may update these terms as the service evolves. For material changes we will give you at least 14 days' notice by email or in-app notice before they take effect. If you don't agree with a change, close your account before it takes effect; continuing to use the service after that date means you accept the updated terms.

13. Governing law

These terms are governed by the laws of New South Wales, Australia, and the courts of that state (and the courts able to hear appeals from them) have jurisdiction.
